Position Summary

 

We are seeking an experience and detail-oriented Legal Contracts and Trade Compliance Manager to join our dynamic team. The ideal candidate will be responsible for overseeing the contract review process, managing the company's trade compliance function, and coordinating all other legal reviews with outside counsel, including managing product liability claims. This role is critical in mitigating risks, ensuring compliance with international trade regulations, and protecting the company's interests.

 

Position Responsibilities

 

Contract Review and Management:

    • Lead the drafting, review, and finalization of a variety of contracts, including but not limited to NDAs, Vendor Agreements, Client Contracts, Partnership Agreements, and Service Contracts.
    • Ensure all contracts comply with legal requirements and company policies.
    • Identify potential risks and propose mitigation strategies.

Trade Compliance Management:

  • Oversee and manage the company’s trade compliance function, ensuring adherence to all applicable import/export laws and regulations.
  • Develop and implement trade compliance policies, procedures, and training programs.
  • Conduct audits and assessments to ensure ongoing compliance with international trade regulations.
  • Work closely with the supply chain, logistics, and other relevant departments to resolve trade compliance issues.

Coordination with Outside Counsel:

    • Serve as the primary liaison between the company and outside counsel for all legal matters.
    • Coordinate and manage the workflow of legal reviews conducted by outside counsel, ensuring timely and efficient processing.
    • Oversee the management of product liability claims, working closely with outside counsel to ensure proper handling and resolution.

 

Compliance and Risk Management:

    • Monitor changes in relevant laws and regulations, including trade compliance, and update contract templates and processes accordingly.
    • Develop and implement contract and trade compliance management policies and procedures.
    • Conduct training for internal teams on contract compliance, trade compliance, and risk management.  

 

Documentation and Reporting:

    • Maintain an organized repository of all contracts, trade compliance documentation, and related records.
    • Prepare regular reports on contract status, trade compliance metrics, legal reviews, and risk assessments for senior management.
    • Track and report on key performance metrics related to contract management, trade compliance, and legal review processes.

 

Collaboration and Support:

    • Work closely with various departments, including Sales, Procurement, Finance, and Operations, to support their contractual and trade compliance needs.
    • Provide guidance and support to internal stakeholders on contract-related and trade compliance matters.
    • Assist with special legal projects and initiatives as needed.  

 

Position Requirements

  • Bachelor’s degree in Law, Business Administration, or a related field. JD or equivalent legal qualification is preferred.
  • Minimum of five (5) years of experience in contract management, trade compliance, legal review, or a related legal field.
  • Proven experience coordinating with outside counsel and managing product liability claims.
  • Strong knowledge of contract law, trade compliance regulations, and legal compliance requirements.
  • Exceptional organizational and project management skills.
  • Ability to manage multiple priorities and work under pressure.
  • Strong interpersonal and communication skills, with the ability to work effectively with diverse teams.
